Welcome to Code Brew Canada! These Terms and Conditions define the rules and guidelines for using our digital marketing and development services. By engaging with Code Brew Canada, you acknowledge and accept these terms in full. If you do not agree with any part of these terms, please refrain from using our services.
1. Definitions
Company: Code Brew Canada, referred to as “we,” “our,” or “us.”
Client: The individual or organization utilizing our services, referred to as “you” or “your.”
Services: Digital marketing and development solutions, including but not limited to SEO, PPC, social media management, content creation, web development, and related services.
2. Scope of Services
Code Brew Canada provides services as outlined in a signed contract, proposal, or agreement with the client.
Service scope, timelines, and deliverables will be clearly documented in the agreement.
Any work beyond the agreed scope will be considered additional and billed accordingly.
3. Client Responsibilities
Provide accurate, complete, and timely information necessary for project execution.
Respond promptly to feedback requests, approvals, and content/material submissions.
Ensure all marketing activities comply with relevant laws and regulations.
Grant Code Brew Canada necessary access to platforms, accounts, and tools required for service delivery.
4. Payment Terms
Clients must pay all fees as outlined in the service agreement prior to the start of work.
Payment schedules, due dates, installment plans, and late fee policies will be specified in the signed agreement.
Services may be paused or terminated if payments are not received on time.
5. Intellectual Property
All creative assets, designs, and strategies developed by Code Brew Canada remain the company’s intellectual property until full payment is made.
Upon complete payment, clients receive a non-exclusive, royalty-free license to use these materials.
Unauthorized use, reproduction, or distribution of Code Brew Canada’s work is strictly prohibited.
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary information shared during the project.
Code Brew Canada will not share client data, strategies, or business information with third parties without written consent.
7. Performance and Results
While we strive to deliver measurable results, Code Brew Canada does not guarantee specific outcomes due to factors such as market variability and platform algorithm changes.
The client acknowledges that digital marketing and development results may fluctuate over time.
8. Termination of Services
Either party may terminate services with a written notice of three (3) months.
The client must pay for all services rendered up to the termination date.
Code Brew Canada reserves the right to terminate services immediately if a client violates these terms or engages in unethical conduct.
9. Limitation of Liability
Code Brew Canada shall not be held responsible for indirect, incidental, or consequential damages related to the use of our services.
Our total liability is limited to the amount paid by the client for services rendered in the three (3) months preceding the claim.
10. Governing Law
These terms and conditions shall be governed by and interpreted in accordance with the laws of Canada.
Any disputes arising from these terms shall be resolved in Canadian courts.
11. Amendments
Code Brew Canada may update these Terms and Conditions at any time.
Clients will be informed of significant updates via email or website notices.
